Aichi Machine Industry to Become Nissan Wholly-Owned Subsidiary

YOKOHAMA/NAGOYA, Japan – Nissan Motor Co., Ltd. and Aichi Machine Industry Co., Ltd. announced that both companies have agreed to a share exchange transaction by which Aichi Machine Industry will become a wholly-owned subsidiary of Nissan. This was approved at meetings of both companies’ board of directors held .The share exchange is expected to take effect on March 22, 2012.

Nissan recently announced a wide-ranging, six-year business plan, called “Nissan Power 88″, which is aimed at accelerating the company’s growth across new markets and segments. This mid-term plan emphasizes geographical growth as well as sustainable mobility and mobility for all, encompassing zero-emission vehicles and low-emission technologies.

The decision to make Aichi Machinery a fully consolidated company in the Nissan group will greatly contribute to the strategic direction laid out in Nissan Power 88, such as enhancing quality, acceleration of growth through business expansion, and reducing costs. Amid intensifying market competition, the Nissan group faces accelerating demand for the development of high-performance, high-quality and cost-competitive powertrain components that meet more stringent CO2 regulations. In terms of manufacturing, the company continues to swiftly adapt to the needs of global markets, such as by localizing production to expand global businesses, especially in emerging countries.

Through this share exchange to become a wholly-owned Nissan subsidiary, it is expected that actions to optimize the roles and responsibilities and resource allocation between Nissan and Aichi Machinery will be accelerated. This transaction is a significant milestone toward the achievement of Nissan Power 88 and the growth of Nissan group companies.

Ford Employees Help Ensure High-Quality Launch of New MyFord Touch Upgrade

DEARBORN, Mich– Ford customers will soon benefit from a major software upgrade to MyFord Touch® following a real-world beta test with about 1,000 Ford employees.The software upgrade is coming for 2013 models – and to owners of existing MyFord Touch-equipped vehicles – and the employee beta test is part of a new, innovative approach to ensure a high-quality launch of the improved system.

Employees are a great source for quick feedback, and the best part is that they are eager to help,” said John Schneider, chief engineer, Infotainment, Ford Electronics and Electrical Systems Engineering. “Employees who have been MyFord Touch users since it was first launched will test the new upgrade on employee lease vehicles so they can provide us real-world feedback, helping us polish the final product before it goes to our customers.

The upgraded system will launch with 2013 models of the new Ford Escape, Taurus and Flex, and will be applied to existing vehicles equipped with MyFord Touch including Ford Explorer, Edge and Focus. The new MyFord Touch upgrade is designed to make the system faster, simpler and easier to use.

Ford designers and engineers want to ensure the changes are ready for customers before issuing the software into production. Employee participants should begin receiving a USB flash drive containing the software upgrade later this week. The beta test is scheduled to last approximately a month.

Ford has been listening and learning from our customers about their ownership experiences in order to continuously improve it,” said Schneider. “The new upgrade exemplifies the importance of customer feedback and showcases the flexibility and speed we now have by leveraging software to evolve Ford technology.

Goodyear Declares Dividend on 5.875% Preferred Stock

AKRON, Ohio, – Directors of The Goodyear Tire & Rubber Company declared a quarterly dividend of 73.44 cents per share of mandatory convertible preferred stock.

The dividend is payable January 1, 2012, to shareholders of record on December 15, 2011. The payout represents an annual rate of $2.9375 per share.

Goodyear is one of the world’s largest tire companies. It employs approximately 73,000 people and manufactures its products in 54 facilities in 22 countries around the world.

Its two Innovation Centers in Akron, Ohio and Colmar-Berg, Luxembourg strive to develop state-of-the-art products and services that set the technology and performance standard for the industry.

November U.S. Retail Sales Up 20 Percent for Ford Motor Company

DEARBORN, Mich – Ford Motor Company’s November U.S. retail sales increased 20 percent versus a year ago. Total sales were 166,865, up 13 percent.Ford estimates its retail market share has averaged 15 percent in the last three months – its highest retail share in five years.Ford brand retail sales were higher for most products, with double-digit gains posted by Fiesta, Fusion, Escape, Explorer, F-Series, Econoline and Ranger.

With gasoline prices continuing to track higher than last year, consumers continue to value fuel economy – no matter what size or kind of vehicle best meets their needs,” said Ken Czubay, Ford vice president, U.S. Marketing, Sales and Service. “Most Ford products deliver best-in-class fuel economy and provide customers an opportunity to choose what best works for them – EcoBoost technology or electrified vehicles.

Ford plans to build 675,000 vehicles in the first quarter of 2012, up 3 percent (18,000 vehicles) compared with first quarter 2011. Ford plans to build 674,000 vehicles in the fourth quarter of 2011, an increase of 14,000 vehicles from the previous forecast.

The industry sales rate has exceeded 13 million in each of the last three months,” said Czubay. “This suggests the current momentum is not an aberration. We believe replacement demand will continue to support stronger levels in 2012, and Ford is ready to meet that demand with high-quality, fuel-efficient cars, utilities and trucks.

International Nameplate Automobile Dealers Announce Monthly Sale

Alexandria, VA – The American International Automobile Dealers Association (AIADA) released November 2011 sales figures for the international nameplate automobile industry. AIADA represents America’s approximately 10,000 international nameplate franchises whose brands accounted for 54.6 percent of all vehicles sold in the United States last month.

Thanks in part to a black Friday surge, overall sales, including domestic brands and unadjusted for business days, were up 13.9 percent from November 2010 and 10.4 percent year to date. The seasonally adjusted annual rate (SAAR) for light vehicle sales in November was estimated by AutoData Corp. at 13.63 million units, up from 12.28 million units in November 2010.

Hyundai’s sales were up 21.8 percent; Kia was up 39.1 percent; Nissan was up 21.5 percent; and Mercedes Benz had its best November ever with sales of 27,841 units, up 42.6 percent from a year ago. Toyota, well on its way to recovery from March’s earthquake and tsunami, was up 6.7 percent and picked up a point in market share. Honda continues to struggle, now with supply issues caused by flooding in Thailand, and saw sales fall 6.2 percent from November 2010.

Overall, international brand sales were up 12.2 percent from November 2010 and 6.7 percent year to date. Domestic automakers were up 16.1 percent and 14.9 percent for the year. In November consumer confidence reached its highest level since July of this year, and unemployment fell 8.6 percent with 120,000 new jobs added.

Bolstered by falling unemployment rates and attractive deals, consumers who had been deferring automotive purchases returned to dealerships in droves last month,” said AIADA President Cody Lusk. “Dealers are optimistic that last month’s numbers bode well for 2012.
